1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Jóli, operated by Drewbie Ventures Ltd (RC 7411103, registered in Nigeria) (“Jóli”, “we”, “us”) for use of the Jóli mobile and web applications, websites, and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Markets & eligibility
Jóli is offered in: Nigeria, Australia, United Kingdom, United States, Canada, South Africa, Ghana, Germany, France, and the United Arab Emirates. You must be at least 18 years old (or the age of majority in your place of residence, if higher) to create an account. Hosts who publish paid events or receive gifts must have capacity to contract and, where required, a valid bank account in their own name. We may refuse, suspend, or limit access where required by law or risk controls.
3. Account & location
You may create an Individual account (personal) or a Group / Organisation account (company, brand, church, community, school / institution, or similar). Organisation accounts require a public display name and an authorised contact person; an optional legal/registered name may be stored for payouts and compliance. The person who creates an organisation account confirms they are authorised to act for that entity. Jóli uses three distinct location signals you should not conflate: (1) Residence Market — set at signup from phone dial code or an explicit country pick, and changeable in Settings → LOCATION → Home country; it drives gift currencies and default hub when GPS is off. (2) GPS hub — derived from device location after you grant permission / confirm; shown in the Home (and global) location chip and Settings → Near you (GPS); not editable via city pickers. (3) Discover explore city — temporary browse of other cities inside Discover LOCATION pills only; it does not overwrite your GPS hub. Changing Market plus GPS confirm refreshes localised content (featured/nearby events, venue hints). You must keep registration details accurate. You are responsible for credentials, Face ID / biometric unlock, and PIN on your devices.
4. Authentication & security
We use email and password, passkeys, device biometrics (where available), PIN, and one-time passcodes (OTP) to protect accounts. Where offered, you may also continue with Google or Facebook Login; those providers authenticate you and share with Jóli the account details you authorise (typically name, email, and profile photo). OTP verification may be required when you sign in on a new device or after a period of inactivity (including approximately 24 hours idle on a trusted device). You must not share OTP codes. Notify us promptly of unauthorised access. Security practices described here are operational controls; they do not guarantee absolute security.
5. The Service
Jóli helps users discover events, purchase tickets, send digital invites, follow creators and organisation pages, manage Going / Pending / Past events on You, message other users (1:1 DMs and per-event group banter), share group-chat invite links, and (for eligible event types) send cash gifts to hosts. Host invite capacity is tiered as Jóli Starter (free), Jóli Event Plus (one-time per event), and Jóli Host Pro (subscription) — see §11. Features may vary by Market. We may update, add, or remove features. Limited-availability or early-access features, when offered, are identified in the Service and remain subject to these Terms and the Privacy Policy.
6. Hosts, events & content
Hosts are solely responsible for event accuracy, venue safety, age restrictions, licensing, and fulfilment of tickets and experiences. You must not publish unlawful, fraudulent, defamatory, discriminatory, or infringing content; spam; or content that exploits minors. We may remove content, cancel listings, or suspend accounts that violate these Terms or applicable law. Jóli is not the organiser of third-party events unless we expressly state otherwise. Curated “Around town” listings point to third-party organisers and are not ticketed on Jóli.
7. Tickets
Ticket purchases are contracts between the guest and the host (or organiser named on the event). Prices are shown before payment. Soft-launch default: paid tickets are generally non-refundable once payment is confirmed; there is no guest self-serve cancel in-app yet. If a host cancels or materially changes an event, contact hello@jolinaija.com with your booking reference for a refund review. Host-stated policies and applicable consumer law in your Market still apply. Where required (for example under UK Consumer Rights Act 2015, Australian Consumer Law, EU consumer directives, or equivalent), statutory rights are not excluded.
8. Jóli Gifts
Cash gifts are available only for eligible categories (including Wedding, Birthday, Gender Reveal, and Graduation) when the host enables gifts. When you choose bank transfer, checkout opens Flutterwave’s bank-transfer payment option (Jóli merchant); after Flutterwave confirms, the host is paid net via automatic NIP. The flat processing fee applies on bank-transfer gifts the same as card or Apple Pay (see §9). When you pay by card or Apple Pay, the payment is processed through Jóli's payment partners and settled to the host net of fees (see §9). Guests in Nigeria send in Naira (NGN) only. Guests in other Markets may send in their local send currency and/or NGN as offered in-app. Hosts receive Naira. Before you confirm a gift, we disclose the flat processing fee (tiered by the gift's value and by whether you send Naira or a foreign send currency — see §9), applicable FX (an indicative mid-market reference rate maintained by Jóli — not a live bank feed — plus any disclosed spread), and the host’s estimated ₦ net. On every payment method (card, Apple Pay, or bank transfer), the guest pays the gift amount plus the flat processing fee, and the fee is not deducted from the host. Rates and the disclosed spread lock at confirmation. Gifts are voluntary contributions, not charitable donations unless expressly labelled as such under local charity law.
9. Payments, fees & payouts
Guest payments for tickets, gifts, and host plan upgrades are processed through Flutterwave (and Apple Pay where offered). In Nigeria, the default rail for locals staying in Nigeria is Flutterwave: card, bank transfer, USSD, and account where offered at checkout (`payment_options: card, banktransfer, ussd, account`). Jóli does not store full card numbers (PAN) or CVV on our servers. Where a card form is shown, your browser or operating system may offer Autofill from cards you already saved on your device (for example Safari Autofill); that data remains on your device until you submit payment to our payment partners. Apple Pay is a diaspora-Market option (including Australia, the United Kingdom, and the United States). It is available to diaspora-account holders when visiting Nigeria, and may become available to a Nigeria-resident user after they leave Nigeria (when their location or Market is outside Nigeria). Apple Pay is not offered to Nigeria locals while they remain in Nigeria. When Apple Pay is used, funds are still settled through our payment partners. For tickets and for gifts (including Flutterwave bank transfer), funds are received into Jóli’s merchant / platform accounts before payout. If payment processing is unavailable or misconfigured, checkout returns an error and no charge is taken — we do not invent successful payments. Platform commission is currently 6% on ticket gross (exclusive of any payment-provider or FX costs disclosed at checkout), deducted automatically before payout. Jóli Gifts carry a flat, guest-facing processing fee instead of a percentage commission, tiered by the gift’s mid-market ₦ value and by send corridor — the currency the guest actually pays in, never GPS location or residence Market. For Naira (local) sends: ₦100 under ₦50,000, ₦150 from ₦50,000–₦99,999, and ₦200 at ₦100,000 or more. For non-Naira (diaspora) sends — USD, GBP, AUD, EUR, and similar: ₦200 under ₦50,000, ₦500 from ₦50,000–₦149,999, and ₦500 plus 1% of the amount over ₦150,000 at ₦150,000 or more. A guest with a diaspora Market who chooses to send Naira (no FX path) pays the local fee, not the diaspora fee. The gift processing fee is paid by the guest on top of the gift on every payment method (card, Apple Pay, and bank transfer) and is never deducted from the host’s payout; hosts receive the gift amount net of the 1.5% FX spread only, which applies to diaspora (non-Naira) gift sends only (0% on Naira sends). Net amounts are transferred to the host’s verified bank account on file via Nigerian Inter-Bank Settlement System NIP rails where available, typically on an instant or near-instant basis. Weekly batching and alternative rail preferences are not offered as user settings. Internal settlement tooling (including provider sub-accounts, where used) is operated by Jóli for platform integrity and is not a customer-facing control. Fees may change with notice via the Service or updated Terms.
10. Rewards
Jóli Rewards are promotional and may change. Guests earn approximately 1 point per ₦100 on paid tickets and on paid host plan upgrades (Event Plus / Host Pro), and 1 point per ₦1,000 on gifts (rounded down; gift earn is slower because gift fees are small flat amounts rather than a percentage). Earn settles on verified payment success into a server ledger — balances are not invented on-device. No points on free RSVP or free tickets, staff or founder plan unlocks, or failed or abandoned checkouts. Points earned on a charge may be clawed back if that order is refunded. Referral bonuses are deferred and not part of the initial live program. Soft monthly earn caps (around 1,500 pts) and 12-month expiry may apply. Redemption is limited to ticket / event discounts only: 500 points ≈ ₦200 (about ₦0.40 per point), capped at 10% of the ticket order; points are reserved at checkout so Flutterwave is charged the net amount. Partner data/airtime and hotel credits are not offered at MVP. Points have no cash value, are non-transferable, and are not redeemable for bank withdrawal. We may suspend abusive farming.
11. Host invite plans
Digital invites and guest-list capacity are tiered. Starter is free for up to 100 guests per event. Event Plus is a one-time fee of ₦5,000 per event for up to 500 guests (bulk share, CSV export, and in-app door scan to authenticate invite or ticket QR codes). Host Pro is a monthly plan at ₦8,000/mo for higher caps (up to 2,000 guests/event), live analytics (funnel, cities, channels), door scan, guest blast, reminders, and payout forecasts. Host Pro checkout uses Flutterwave Standard with a payment plan (card); Flutterwave renews monthly until you cancel in Settings → Plan (or via Flutterwave’s email link). Access continues until the paid period end after cancel. Door scan is not included on Starter (≤100 guests). If you select a paid plan, payment must be confirmed before the event can be published; unpaid upgrades leave publish locked while your draft is preserved. Ticket commission and gift commission remain separate. Plan fees are non-refundable once invite sending or capacity is used, except where consumer law requires otherwise. Following creators and the creator feed on Home are available on all plans, including Starter.
12. Messaging, group invites & follows
The Service may include 1:1 direct messages and per-event group banter (event rooms for ticketed / RSVP guests). You may share group invite links in the form https://getzurla.com/g/<token> so others can join an event room in Jóli. You must not use messaging to harass, scam, spam, share unlawful content, or circumvent ticket or guest-list rules. We may remove messages, revoke invites, or suspend accounts for abuse. Event hosts can pin announcements, delete messages, and remove guests from their event banter room. Follow relationships (people and organisation pages) are managed from You. Message content, membership, read receipts, and invite tokens for Jóli Messager are stored on our processors as described in the Privacy Policy.
13. Push notifications
With your permission, Jóli may send push notifications (for example new messages, group-invite joins, ticket or RSVP updates, and similar transactional alerts) via a push provider such as OneSignal, using Apple Push Notification service and/or Firebase Cloud Messaging as applicable. Push is for delivery of alerts and deep links into the relevant screen (for example a chat thread); it is not a substitute for the message store. You can control notification preferences in Settings → Notifications and via your device OS settings. Marketing pushes require opt-in where mandated by your Market.
14. Taxes
You are responsible for taxes arising from your use of the Service, including VAT/GST/sales tax, withholding, and income tax on host proceeds, as required in your Market (including Nigeria FIRS/state rules, HMRC, ATO, IRS/CRA, SARS, GRA, UAE FTA, and EU VAT rules where applicable). Jóli may issue statements or withhold where legally required.
15. Acceptable use
You must not: reverse engineer the Service except where permitted by law; scrape or overload systems; bypass fees or FX disclosure; launder money; finance terrorism; evade sanctions; or use the Service for illegal gambling or unlicensed financial services. We may apply sanctions screening and AML/CFT controls consistent with Nigerian CBN guidance and partner obligations, and with comparable regimes in your Market.
16. Intellectual property
Jóli branding, software, and design are owned by Drewbie Ventures Ltd or our licensors. You retain rights in content you upload, and grant Jóli a worldwide, non-exclusive licence to host, display, and distribute that content as needed to operate the Service. Feedback may be used without obligation to you.
17. Disclaimers
Except where prohibited, the Service is provided “as is” and “as available”. We do not warrant uninterrupted availability, perfect FX outcomes, or that hosts will fulfil events. Nothing in these Terms limits non-excludable consumer guarantees. Temporary outages or payment-provider interruptions may prevent checkout or delivery of some features; in those cases the Service returns an error and does not record a completed payment.
18. Liability
To the maximum extent permitted by law, Jóli’s aggregate liability arising out of the Service is limited to the greater of (a) fees you paid to Jóli in the 12 months before the claim, or (b) USD 100 (or local equivalent). We are not liable for indirect, consequential, or lost-profit damages. These caps do not apply to liability that cannot be limited (including death/personal injury caused by negligence where such exclusion is void, fraud, or statutory rights).
19. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate accounts for breach, legal risk, or prolonged inactivity. Provisions that by nature should survive (fees owed, IP, liability, dispute clauses) survive termination.
20. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to mandatory consumer protections in your Market of residence (including EU/UK, Australia, Canada, South Africa, Ghana, UAE, and US state law where applicable). Courts of competent jurisdiction in Lagos, Nigeria may hear disputes, except where mandatory local forums apply. EU/UK consumers may also use applicable ADR schemes. Nothing prevents you from bringing claims in your local courts where mandatory law requires.
21. Changes
We may update these Terms. Material changes will be posted in-app (Settings → Terms of Service) with an updated effective date. Continued use after the effective date constitutes acceptance, except where local law requires affirmative consent.
